This Usage Rights Agreement ("Agreement") is entered into as of the date of acceptance by the viewer ("Recipient") and governs the use of photographs taken at the UCA Nationals ("Photos") provided by LaCroix Marketing & Media ("Provider"). By accessing, viewing, or using these Photos, the Recipient agrees to be bound by the terms of this Agreement.
1. Grant of Rights:
a. The Provider grants the Recipient a non-exclusive, non-transferable right to use the Photos for personal, non-commercial purposes only. This includes personal printing and display, as well as sharing on personal social media accounts.
b. Commercial use, including but not limited to advertising, promotion, or any for-profit purposes, is strictly prohibited unless the Recipient obtains prior written approval from the Provider.
2. Social Media Use:
a. When posting any of the Photos on social media platforms, the Recipient must credit the photographer by tagging the Instagram handle @jacksonlacroix in both the post and the caption.
b. The use of the Photos on social media should be in a manner consistent with personal, non-commercial use.
3. Prohibitions:
a. The Recipient shall not use the Photos in any way that is defamatory, libelous, obscene, or in violation of any laws.
b. The Recipient shall not sell, license, rent, or otherwise exploit the Photos for commercial gain.
c. Alteration or manipulation of the Photos is not permitted without the express written consent of the Provider.
4. Intellectual Property:
a. All Photos are the intellectual property of the Provider and/or its licensors. This Agreement does not transfer ownership of any intellectual property rights.
b. The Recipient acknowledges that any unauthorized use of the Photos may infringe on the rights of the Provider and/or its licensors.
5. General:
a. This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof.
b. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.
c. This Agreement is governed by the laws of the jurisdiction in which the Provider is located, without regard to its conflict of law principles.
